General Terms & Conditions (AGB)

Entity: Business & Butter UG (haftungsbeschränkt) | Status: January 2026

1.1 These terms apply to all consulting, digital advertising, strategy, and creative services provided by Business & Butter.
1.2 We provide services as a Dienstvertrag (Service Contract). This means we owe our professional diligence and "best efforts," but we do not guarantee a specific economic result (e.g., a specific ROAS, revenue target, or conversion rate), as these depend on third-party platforms and market behavior.

The success of our work depends on your input. You agree to provide necessary assets (brand files, access to ad accounts, tracking pixels) in a timely manner. Delays in cooperation may result in shifted timelines for which Business & Butter is not liable.

3.1 Retention of Title: All concepts, designs, workflows, and deliverables remain the property of Business & Butter until the respective invoice is paid in full.
3.2 License: Upon full payment, you receive a non-exclusive, perpetual right to use the deliverables for the agreed business purpose.
3.3 Attribution: Business & Butter reserves the right to mention the collaboration and show visual samples of the work in its portfolio or case studies, unless a specific Non-Disclosure Agreement (NDA) states otherwise.

Our services often involve platforms like Meta, Google, Shopify, or OpenAI. We are not liable for outages, algorithm changes, account bans, or price increases initiated by these third parties. You are responsible for adhering to the specific Terms of Service of these platforms.

5.1 Liability is limited to cases of intent and gross negligence.
5.2 We are not liable for indirect damages, loss of profit, or consequential loss.
5.3 Our total liability per project is capped at the amount of the fees paid by the client for that specific project or retainer month.

6.1 Invoices are due within 14 days without deduction.
6.2 Suspension of Service: If payment is overdue, we reserve the right to pause all active work, turn off managed ad campaigns, and revoke access to shared workspaces until the balance is cleared.

7.1 Retainers: Unless otherwise agreed, monthly retainers can be cancelled with a notice period of 30 days to the end of the month.
7.2 Project-based work: If a project is cancelled mid-way by the client, all work performed up to that date, including a pro-rata share of the remaining project fee, remains billable.
